Antong Holdings: Sinotrans Container Shipping Proposes Board Change, Control Shift to China Merchants Group
Antong Holdings announced on August 12, 2026 that its single largest shareholder, Sinotrans Container Shipping, has proposed amending the company's articles of association and reorganizing the board. Sinotrans Container Shipping and concert party China Merchants Port Group jointly nominated more than half of the board seats. Under the proposed early board election, the number of directors jointly nominated by Sinotrans Container Shipping and its concert party, China Merchants Port Group Co. , exceeds half of the total board seats.
Should the resolutions concerning the early board election be approved at the company's shareholders' meeting and the nominated director candidates take office, control of the company would be adjusted. The controlling shareholder would then change from Fujian Zhaohang Logistics Management Partnership (Limited Partnership) to Sinotrans Container Shipping, and the actual controller would change from having no actual controller to China Merchants Group.
Whether the change of controlling shareholder and actual controller can be completed remains subject to the voting results at the company's shareholders' meeting, and the matter still carries a degree of uncertainty.
