CSISC and E Fund Nominate Zhang Donghua as Sungrow Independent Director
China Securities Investor Services Center (CSISC) and E Fund Management jointly nominated Zhang Donghua as an independent director candidate for Sungrow Power Supply, and CSISC is soliciting proxy votes from shareholders. Zhang holds no Sungrow shares and has no ties to major shareholders. The nomination follows the departure of incumbent independent director Gu Guang after six years of service.
Sungrow Power Supply disclosed an announcement regarding the public solicitation of voting rights by China Securities Investor Services Center (CSISC). CSISC plans to solicit voting rights from all Sungrow shareholders on a proposal to nominate an independent director candidate. Sungrow's independent director Gu Guang has served for six consecutive years, and the company's sixth board of directors held its third meeting on August 28, approving the proposal to nominate an independent director candidate.
CSISC and E Fund Management jointly nominated Zhang Donghua as an independent director candidate for the company's sixth board, with a term running from the date of shareholder approval until the expiration of the sixth board's term. Zhang has obtained the independent director qualification certificate, and her eligibility and independence are subject to review by the Shenzhen Stock Exchange before submission to the shareholders' meeting. Zhang currently serves as deputy director of Anhui Xinzhongtian Accounting Firm, and previously served as an independent director of Anhui Zhongyuan New Materials Co. , Ltd. and Wuhu Changxin Technology Co. She currently serves as an independent director of Ruihu Automobile Mould Co. Zhang holds no shares in Sungrow and has no affiliation with shareholders holding more than 5% of the company's shares, the actual controller, directors, or senior management.
CSISC holds 140 shares of Sungrow, representing a stake of 0.000007%. According to Sungrow's 2026 semi-annual report, the Industrial and Commercial Bank of China - E Fund ChiNext Exchange-Traded Open-End Index Securities Investment Fund reduced its holdings by 19.143 million shares in the first half of the year, retaining 9.144 million shares at the end of the reporting period, representing a 0.44% stake and ranking as the ninth-largest shareholder.
According to the solicitation announcement, CSISC is soliciting voting rights solely on Proposal 1.00, "Regarding the Nomination of Independent Director Candidates," with a voting recommendation of "agree," and will not accept proxies inconsistent with this recommendation. Given that the solicitation covers only part of the proposals to be considered at the first extraordinary shareholders' meeting of 2026, CSISC reminds shareholders that, for proposals not covered by the solicitation, they should specify their voting intentions in the proxy form and entrust CSISC to vote on their behalf.
Sungrow will hold its first extraordinary shareholders' meeting of 2026 at 14:00 on September 15, 2026, with the solicitation covering all shareholders registered with the Shenzhen branch of China Securities Depository and Clearing Corporation as of the close of trading on September 8, 2026. The solicitation period runs from September 4 to September 12, 2026, at 17:00.
This is not the first time CSISC has nominated an independent director and solicited voting rights at a listed company; an earlier case dates back to at least April 2025, when CSISC nominated an independent director at Shangfeng Cement. Such nominations have become more frequent in 2026, with CSISC having nominated independent director candidates at several listed companies, including Sansteel Minguang, Walvax Biotechnology, Shandong Road and Bridge, and Yuexiu Capital.
