Foxconn Industrial Internet Plans Up to 2 Billion Yuan Buyback After Share Price Trigger

Foxconn Industrial Internet announced after the market closed on July 27 that it plans to repurchase its own shares using self-owned funds of between 1 billion yuan and 2 billion yuan, with a maximum repurchase price of 103 yuan per share. The buyback period is three months from the date of board approval. As of the close on July 27, the company's share price stood at 61.55 yuan, giving it a total market capitalization of approximately 1.22 trillion yuan. The repurchase meets the condition of 'a cumulative decline of 20% in the company's stock closing price over 20 consecutive trading days,' qualifying as necessary for maintaining company value and shareholder equity.
Foxconn Industrial Internet's share price has been declining since hitting a record high of 84.95 yuan on June 3. In July, the stock fell from a closing price of 72.15 yuan on June 30 to 61.55 yuan on July 27, a decline of about 14.69% for the month, with the lowest closing price during the period reaching 56.50 yuan. As of March 31, 2026, the company had total assets of 457.188 billion yuan, net assets attributable to shareholders of 176.218 billion yuan, and cash and cash equivalents of 102.135 billion yuan. Based on the maximum buyback amount of 2 billion yuan, the repurchase would account for about 0.44% of total assets, 1.13% of net assets, and 1.96% of cash.
The maximum repurchase price of 103 yuan per share has been adjusted for the 2025 annual dividend of 0.65 yuan per share. The repurchased shares are intended to maintain company value and shareholder equity and will be sold in accordance with relevant regulations. The company plans to sell the shares via centralized auction trading 12 months after disclosing the buyback results and share change announcement, completing the sale within three years. Any unsold portion will be cancelled as required by law.
If all repurchased shares are sold, the total share capital and equity structure will remain unchanged. If all shares are cancelled due to being unsold, the total share capital would be reduced to approximately 19.825 billion shares based on the upper limit, or 19.834 billion shares based on the lower limit. As of the board approval date, the company's directors, senior management, controlling shareholder and its concert parties, and shareholders holding more than 5% and their concert parties have no plans to reduce their holdings in the next three months, six months, or during the buyback period.
Since its listing in June 2018, Foxconn Industrial Internet's total share capital has remained largely stable, with approximately 19.695 billion shares at the end of 2018 and 19.858 billion shares at the end of 2025. The company previously conducted two share buybacks: a cancellation-type buyback of 200 million to 300 million yuan in July 2024 at a maximum price of 40.33 yuan per share, and another cancellation-type buyback of 500 million to 1 billion yuan in April 2025, with the price cap later raised from 19.36 yuan to 75 yuan per share in November 2025, completed and cancelled in March 2026. Unlike the previous two, this buyback involves shares intended for sale on the secondary market rather than direct cancellation.
In the first half of the year, revenue from AI servers for cloud service providers grew by more than 230% year-on-year, and shipments of data center switches above 800G increased by 1.4 times. In the first quarter, the company achieved revenue of 251.078 billion yuan, up 56.52% year-on-year.
In terms of shareholder returns, Foxconn Industrial Internet has spent over 2.1 billion yuan on share buybacks since listing and has paid cash dividends exceeding 10 billion yuan for four consecutive years. The total cash dividend for 2025 reached 19.45 billion yuan, a record high since listing.
