Gailun Electronics Cleared to Buy Ruicheng Xinwei and Namei Micro in RMB2.1 Billion Deal
Chinese EDA company Gailun Electronics has received regulatory approval to acquire 100% of Chengdu Ruicheng Xinwei Technology Co. , Ltd. and 45.64% of Namei Microelectronics (Chengdu) Co. in a deal valued at over RMB2.1 billion. The transaction, which took about six months from filing to approval, makes Gailun the first listed EDA firm in China and the first with an 'EDA+IP' dual-engine full-chain enablement platform. The targets are semiconductor physical IP providers with over a decade of R&D, partnerships with more than 30 global foundries, 500-plus chip design customers, and over 1,000 mature IP solutions. Equity transfers for both entities have been completed, and integration is underway.

With this move, Gailun Electronics becomes the first listed EDA company in China and the first to establish a full-chain enablement platform powered by an 'EDA+IP' dual engine.
The acquisition targets, Ruicheng Xinwei and Namei Micro, are both domestic semiconductor IP companies specializing in physical IP. Their product lines cover a full range of core physical IP resources, including analog and mixed-signal IP, memory IP, wireless RF IP, and high-speed interface IP. The two companies have accumulated more than a decade of physical IP research and development, cooperating with over 30 mainstream foundries worldwide, serving a reserve of over 500 chip design customers, and amassing more than 1,000 mature physical IP solutions.
As of July 31, 2026, the 100% equity transfer of Ruicheng Xinwei has completed industrial and commercial registration change; as of July 19, 2026, the 45.64% equity transfer of Namei Micro has been fully completed. The three teams involved all originated from entrepreneurial backgrounds and share mutual recognition in technology, corporate culture, and values, with integration work already completed in advance.
Gailun Electronics' strategy for the next five years is a platform strategy, with EDA and IP serving as the two core engines, supported by domestic foundries, process platforms, and advanced packaging capabilities as its development foundation. Since its establishment in 2010, the company has championed the Design Technology Co-Optimization (DTCO) concept and plans to upgrade toward cross-level collaborative optimization, extending its reach from the transistor level to the system level.
