Haier Smart Home Offers to Buy Back 81.04 Million D-Shares at 5% Premium

Haier Smart Home announced a voluntary public tender offer to repurchase up to 81.04 million D-shares, representing about 30% of its 271 million listed D-shares. The offer price is EUR 1.87 per share, a 5% premium over the closing price three trading days before the announcement. If tendered shares exceed the cap, repurchases will be prorated. Repurchased shares will be cancelled.

Haier Smart Home announced that, under shareholder authorization, it will launch a voluntary public tender offer to repurchase its overseas-listed foreign shares (D-shares). The maximum number of shares in the offer is 81.04 million D-shares, representing approximately 30% of the 271 million D-shares currently issued.

The offer price is EUR 1.87 per D-share, a 5% premium over the closing price on the Xetra trading system of the Frankfurt Stock Exchange three trading days before the announcement. If the number of D-shares tendered in the offer exceeds 81.04 million, the company will repurchase on a pro-rata basis. Haier Smart Home plans to cancel the D-shares repurchased under the offer.
