Longsys Controlling Shareholders' Stake Diluted to 38.46%

Longsys announced that its controlling shareholders and actual controllers, Cai Huabo and Cai Lijiang, saw their combined stake passively diluted from 41.78% to 38.46% following the company's 2025 private placement of A-shares and H-share listing on the Hong Kong Stock Exchange. Excluding shares in the buyback account, the stake fell from 41.91% to 38.56%, crossing the 1% and 5% thresholds. No share reduction or tender offer was triggered, and control remains unchanged.

Longsys announced that its controlling shareholders and actual controllers, Cai Huabo and Cai Lijiang, experienced a passive dilution of their combined shareholding due to an increase in total share capital. The increase resulted from the company's 2025 private placement of A-shares and the issuance of H-shares listed on the Main Board of the Hong Kong Stock Exchange.

As a result, their aggregate shareholding ratio was diluted from 41.78% to 38.46%. Excluding shares held in the company's buyback special account, the ratio decreased from 41.91% to 38.56%, crossing integer multiples of 1% and 5%.

This change in equity does not involve any reduction of shares by the shareholders, does not trigger a mandatory tender offer, and will not lead to a change in company control.
