Poolside will also receive an additional $1 billion investment from Nvidia, at a pre-money valuation of $12 billion. Poolside will remain independent, with its three founders staying on.

In a letter to investors, Poolside stressed that the transaction is neither an acquisition of the company nor a so-called hiring acquisition. Poolside plans to distribute the $6 billion to existing investors by the end of 2027.

Nvidia has previously used the same structure twice, buying technology licenses, hiring staff, taking equity stakes, and letting the companies continue operating. All three transactions involved non-exclusive licenses, and Nvidia did not directly acquire any of the three companies.
