Lakala Shareholders Approve Interim Dividend and Third Equity Incentive Plan at RMB7.86
Lakala's extraordinary shareholders' meeting approved four proposals, including a 2026 interim dividend and its third restricted stock incentive plan. The plan covers 251 employees with 33.89 million shares, or 3.12% of total share capital, at an grant price of RMB7.86 per share. Minority shareholders opposed certain proposals, with dissent votes ranging from 21.72% to 22.3%. The company also reported 2025 revenue of RMB5.547 billion, down 3.68% year-on-year.
Lakala held its first extraordinary shareholders' meeting of 2026, where four proposals were approved: the 2026 interim profit distribution plan, the Third Restricted Stock Incentive Plan (Draft) and its summary, the assessment and administration measures for the plan, and a proposal to authorize the board to handle matters related to the incentive plan. A total of 606 shareholders voted in person or by proxy, representing 34.13% of the company's voting shares. Among them, 604 were minority shareholders, holding 3.14% of voting shares.
All four proposals received approval from more than 98% of the valid votes cast by attending shareholders. However, the proposals concerning the incentive plan summary, the assessment measures, and the board authorization drew opposition from minority shareholders representing 22.3%, 21.72%, and 21.82% of their valid votes, respectively.
The incentive plan covers 251 grantees, including directors, senior executives, and other core employees, with 33.89 million restricted shares, equivalent to 3.12% of the company's total share capital. The plan's validity period runs from the grant date until all shares are vested or forfeited, not exceeding 36 months. The grant price is RMB7.86 per share, which is not below the par value and is at least 50% of the average trading price on specified trading days. As of the close on August 27, Lakala's share price stood at RMB16.37, up 1.55% for the day, implying the grant price is approximately 48.01% of that closing price.
Performance criteria include both company-level and individual-level assessments. The company-level assessment covers fiscal years 2026 and 2027. For the first vesting period, revenue in 2026 must grow at least 10% from 2025, or non-GAAP net profit attributable to shareholders must grow at least 15%. For the second vesting period, revenue in 2027 must grow at least 20% from 2025, or non-GAAP net profit must grow at least 25%. Individual performance is rated on a five-tier scale—excellent, good, qualified, needs improvement, and unqualified—which determines the number of restricted shares that can vest.
The company stated that its operations remain stable and orderly, and that terminating the H-share listing will not materially affect its business activities or sustainable development, nor harm the interests of the company or its shareholders, particularly minority shareholders. According to the Hong Kong Stock Exchange website, Lakala's prospectus has lapsed.
Lakala's 2025 annual report shows revenue of RMB5.547 billion, down 3.68% year-on-year, and non-GAAP net profit attributable to shareholders of RMB300 million, down 45.58%. In the first half of 2026, revenue reached RMB3.257 billion, up 22.86% year-on-year, with net profit attributable to shareholders of RMB669 million, up 191.67%, and non-GAAP net profit of RMB219 million, up 50.28%. Gains from selling BlueFocus shares in the secondary market accounted for 69.16% of total net profit.
